By purchasing Panoramic Data Software (“Software”), you agree to be bound by the following terms and conditions governing your use (“Software”). If you do not agree to these terms, please inform us do not use the Software.
1. License Grant:
a. Subject to the terms of this Agreement, Panoramic Data Limited grants you a non-exclusive, non-transferable license to use the Software.
b. This license is limited to your internal business purposes and does not include the right to sublicense, modify, or distribute the Software.
2. Ownership:
a. The Software and all intellectual property rights therein are owned by Panoramic Data Limited or its licensors.
b. You acknowledge that the Software is protected by copyright and other laws.
3. Disclaimers:
a. THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
b. Panoramic Data Limited does not warrant that the Software will meet your requirements or that its operation will be uninterrupted or error-free.
c. You assume all risks associated with the use of the Software.
4. Limitation of Liability:
a. IN NO EVENT SHALL PANORAMIC DATA LIMITED BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE, EVEN IF PANORAMIC DATA LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
b. IN NO EVENT SHALL PANORAMIC DATA LIMITED’S LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.
5. Termination:
a. This Agreement is effective until terminated. You may terminate this Agreement by ceasing to use the Software.
b. Panoramic Data Limited may terminate this Agreement immediately upon notice if you breach any term of this Agreement.
c. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
6. Governing Law:
a. This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
By purchasing and using the Software, you acknowledge that you have read and understand this Agreement and agree to be bound by its terms.
